Terms and Conditions
This document is an electronic record under the Information Technology Act, 2000, and its applicable rules, including any amendments related to electronic records in various statutes as amended by the Information Technology Act, 2000. Being an electronic record generated by a computer system, it does not require any physical or digital signatures.
This document is published in compliance with Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which mandates the publication of the rules and regulations, privacy policy, and user agreement for accessing or using the Rupsha Butique website.

User Agreement
This User Agreement outlines the rules, regulations, policies, terms, and conditions governing the use of Rupsha Butique, including any subdomains, webpages, or extensions of rupshabutique.com. By accessing or using Rupsha Butique, you acknowledge and agree to be bound by the terms of this User Agreement.
Your use of Rupsha Butique and the services provided through the platform are subject to the rules, regulations, policies, notices, terms, and conditions specified in this User Agreement. For the purposes of this agreement, ‘User,’ or ‘You,’ refers to any natural or legal person who has agreed to become a user of Rupsha Butique by accessing, browsing, or registering on the Website, providing identification information, and obtaining a unique username and password for using the platform.

Amendment
Rupsha Butique (hereafter referred to as “the Company”) reserves the right to modify this Website and/or amend the terms and conditions of this User Agreement at any time. The Company also retains the right to deny access to anyone who the Company believes has violated the provisions of this User Agreement. Any amendments to this agreement or incorporated rules and policies will be posted on the Website, and by accessing or using the Website, you agree that such posting constitutes sufficient notice for all purposes against you. The revised terms will become effective upon their posting on the Website. If the User Agreement undergoes a substantial change, the Company will provide 30 days’ prior notice by posting the changes on the Website and notifying you via the email address provided.

Definitions
• Payment on Billing: A transaction where the payment for items purchased is made through (i) the Rupsha Butique authorized Payment Gateway Facility or (ii) by depositing the Transaction Price into the Company’s bank account via cash, cheque, demand draft, or other modes of payment, which is credited within [3] days of booking the transaction.
• Payment on Delivery: A transaction where payment for items is collected in cash by the Logistics Partner at the time of delivery. This option is available only in select cities in India, and Rupsha Butique reserves the right to modify the cities where this option is available without notice. This service is not available for deliveries outside India.
• Delivery/Delivered: The physical delivery of items to the buyer, for which payment has been made either by Payment on Billing, Payment on Delivery, or another mode approved by the Company, via a reputed courier service or the Logistics Partner at the address provided on Rupsha Butique.
• In Transit/Dispatched: The status indicating that items have been dispatched by the seller through a reputed courier service or by the Logistics Partner to the address provided on Rupsha Butique.
• Dispatch Details: True, accurate, and valid information or documents required by the Company from the seller/Logistics Partner as proof that the item has been Dispatched and/or Delivered.
• Information: Any confidential or personally identifiable information provided to the Company or other users of Rupsha Butique during registration, buying, or listing processes, or through any email feature, including your name, email address, billing/shipping address, phone number, and banking/financial information.
• Issuing Bank: Any bank that has issued a valid card (credit/debit/cash card) to the buyer or maintains a valid bank account in the buyer’s name, which is used to make payments on Rupsha Butique. The Company’s authorized Payment Gateway Facility supports online bank transfers from the banks listed during prepay selection. The Company may add, remove, or suspend banks directly or through payment gateway facilitators, with changes taking effect upon posting on Rupsha Butique.
• Logistics Partner: Reputable logistics and courier companies appointed by the Company to provide services such as collection and delivery of items, collection of Transaction Price from buyers in Payment on Delivery transactions, or other services required by the Company.
• Transaction: Every electronically generated valid purchase order placed by a buyer for purchasing items listed by a seller on Rupsha Butique.
• Transaction Price: The price payable for items purchased by the buyer in each Transaction, which includes, if applicable, shipping charges, insurance charges, taxes, duties, costs, and other expenses as charged by the seller.
• Valid Card: Any valid credit card, debit card, cash card, or other card issued by Visa, MasterCard, or any Issuing Bank or institution designated to issue such cards, lawfully owned by the User at the time of the Transaction and Refund, if applicable.
• Valid Bank Account: A valid and operational bank account legally owned by the User, capable of issuing cheques/demand drafts and making deposits. The buyer’s and seller’s accounts must be with a branch of a nationalized bank or other banks registered with or approved by the Reserve Bank of India, supporting online banking systems such as NEFT or RTGS.
• Rupsha Butique authorised Payment Gateway Facility: The automated electronic payment, collection, and remittance facility the Company provides to facilitate transactions on Rupsha Butique. This service is provided directly through banks, financial institutions, or payment gateway facilitators authorized by the Reserve Bank of India. The Company may update the list of supported banks, with changes becoming effective upon posting on Rupsha Butique.

Eligibility
Rupsha Butique and any services provided by Rupsha Butique are only available to individuals who can form legally binding contracts under the Indian Contract Act, 1872. Individuals deemed ‘incompetent to contract’ under the Indian Contract Act, 1872, including minors, persons of unsound mind, and undischarged insolvents, are not eligible to use Rupsha Butique. Minors are strictly prohibited from accessing, registering as Users, or engaging in any transactions involving the sale or purchase of items on Rupsha Butique.
If you are registering on behalf of a business entity, by accepting the User Agreement, you represent that the entity has the legal authority under applicable law to enter into the User Agreement. Furthermore, you confirm that you are duly authorized by the business entity to accept this User Agreement and have the authority to bind the business entity to the terms of this agreement.

Registration and Communication
By registering on Rupsha Butique, you consent to be contacted by us through any mode of communication, including email, chat, or telephone, for order confirmations or service-related information based on the contact details you provide. Rupsha Butique will not be held responsible for any legal implications arising from the provision of incorrect contact details by you.
Your sole purpose for registering or using Rupsha Butique must be to buy or sell unique Indian handicraft products, including green-crafted and ethnic items, or other products specifically notified by the Company on the Website from time to time, provided they are legally permitted to be bought and sold. You agree not to use Rupsha Butique for any other purpose, including the sale or purchase of products not permitted under applicable law.
You agree to provide true, accurate, and complete information when registering or for any other purpose when prompted on Rupsha Butique. Misrepresenting your identity, representing yourself as another User, or logging in/registering with another person’s identity is strictly prohibited. You are responsible for maintaining and promptly updating your registration information to ensure it remains true, accurate, current, and complete. If Rupsha Butique determines that the information you provided is untrue, inaccurate, not current, or incomplete, or otherwise not in compliance with this User Agreement, the Company reserves the right to indefinitely suspend, terminate, or block your use of Rupsha Butique in any manner.

Seller Registration
To sell items on Rupsha Butique, you must separately register with the Rupsha Butique authorized Payment Gateway facility via its page on Rupsha Butique. As part of this process, sellers must provide complete details of their Seller Bank Account either during registration or later, in addition to or in lieu of the original Seller Bank Account details.
Buyer Registration
No separate registration is required for buyers other than being a User. The Rupsha Butique authorized Payment Gateway facility is available to Buyers who possess a Valid Card or Valid Bank Account.

Electronic Communication
You agree to stay updated with all relevant data, information, and communication made available to you on Rupsha Butique. Additionally, you agree that your use of Rupsha Butique or the provision of any data, information, or correspondence (by email or otherwise) to or by the Company is conducted through electronic records. You consent to receive communication from the Company via electronic records, which will be considered adequate service of notice/electronic record.
Terms of Use
You acknowledge and agree that Rupsha Butique primarily provides hosting services to Users who access the platform to purchase and sell unique Indian products that are legally permitted to be bought and sold. All items listed and advertised on Rupsha Butique, including their contents, are provided by Users who are third-party buyers and/or sellers. By using Rupsha Butique, you grant permission to the Website and the Company to store details and records of your usage of Rupsha Butique indefinitely. However, this does not obligate the Company or the Website to retain such information.
Currently, membership on Rupsha Butique is free, and the Company does not impose any charges or fees for browsing or purchasing items. However, Sellers who list items on Rupsha Butique or avail other services such as packing, warehousing, and courier services will be charged fees as outlined in the Facility Charges Policy, which is incorporated herein by reference. The Company reserves the right to introduce new services or modify existing services provided on Rupsha Butique. Additionally, the Company may, at its sole discretion, introduce fees for new services or amend/introduce fees for existing services. Changes to the User Agreement or any of the Company’s rules and policies will be posted on Rupsha Butique, and such changes will automatically become effective immediately after they are posted.
All fees and charges will be quoted in Indian Rupees and are payable to Rupsha Butique within the time specified in the invoice. You are responsible for paying all charges and fees associated with the use of Rupsha Butique and are liable to pay any applicable taxes, charges, cesses, etc., that may be levied. In the event of non-payment, the Company reserves the right to issue a warning, temporarily or indefinitely suspend or terminate your membership with Rupsha Butique, and deny access to the platform. The Company also reserves the right to take legal action against you in the event of non-payment of charges or fees.
The Company offers various value-added services, including listing, packing, courier, warehousing, design, and others (referred to as Rupsha Butique Logistics) to Sellers. Sellers who opt to use any of the Rupsha Butique Logistics services agree to comply with the terms and conditions outlined in the Policy for Rupsha Butique Logistics, which is incorporated herein by reference. Sellers will be charged for such services in accordance with the Facility Charges Policy.
You agree that the Company may appoint third-party service providers, including but not limited to affiliates of the Company, to provide backend operations and support as directed by the Company. This includes, but is not limited to, the collection, processing, and remittance of the Transaction Price using the authorized banking infrastructure to support payment collection and remittance, including services provided by the Logistics Partner.
The Company does not originate or transmit any communication or information on behalf of any User and does not modify the contents of any communication transmitted. The Company has no control over third-party content generated by Users on Rupsha Butique.
Any information you provide to the Company, submit to Rupsha Butique, or display to other Users during the registration, buying, or listing process, in the feedback area, or through any email communication, is your sole responsibility. The Company merely serves as a platform where such information is distributed, published, displayed, or used by Users. The Company and the Website are not liable for the accuracy, appropriateness, or legality of such information.
User Obligations
All contractual terms regarding the manner, terms, and conditions of delivery, payment, insurance, etc., between the buyer and the seller must be independently agreed upon with the other Users of Rupsha Butique with whom you may transact.
You will treat Rupsha Butique as a passive conduit, providing a platform for Users to create listings or provide information for selling their items. This allows other Users of Rupsha Butique to discover and review the information, purchase items, or provide feedback on items they have purchased or sellers they have transacted with.
You agree and undertake not to host, display, upload, modify, publish, transmit, update, or share any information or list any information or items that:
1. Belong to another person and to which you do not have any right.
2. Are grossly harmful, harassing, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, hateful, racially, ethnically objectionable, or otherwise unlawful, including but not limited to “indecent representation of women” as defined under the Indecent Representation of Women (Prohibition) Act, 1986.
3. Harm minors in any way.
4. Infringe on any patent, trademark, copyright, or other proprietary rights, or violate third-party trade secrets, rights of publicity, or privacy, or involve the sale of counterfeit or stolen items.
5. Violate any law in force.
6. Mislead Users about the origin of such messages or communicate information that is grossly offensive or menacing in nature.
7. Impersonate another person or use an anonymous proxy.
8. Contain software viruses or other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource, including but not limited to Trojan horses, worms, time bombs, cancelbots, or Easter eggs.
9. Threaten the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order, or incite the commission of any cognizable offense, prevent investigation of any offense, or insult any other nation.
10. Are false, inaccurate, or misleading.
11. Offer, attempt to offer, trade, or attempt to trade in any item whose dealing is prohibited or restricted under applicable law, rules, regulations, or guidelines.
12. May result in liability for the Website or the Company, or interfere with the services of ISPs or other suppliers of the Website or the Company.
13. Link directly or indirectly to or include descriptions of items that are prohibited under the User Agreement or any other applicable law, including but not limited to the Drugs and Cosmetics Act, 1940, the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954, the Indian Penal Code, 1860, and the Information Technology Act, 2000.
In case of any violation of the above provisions, the Company has the right to immediately terminate the access or usage rights of the User to Rupsha Butique without notice. Any violating information displayed or submitted on Rupsha Butique may be removed immediately and completely.
Rupsha Butique Terms of Use

Introduction
Welcome to Rupsha Butique. By accessing or using our platform, you agree to comply with and be bound by the following terms and conditions (the “Terms of Use”). Please read these terms carefully before using our services. If you do not agree to these terms, you may not use our platform.

Use of Rupsha Butique Platform
You understand and agree that Rupsha Butique provides a platform for Users to list, purchase, and sell unique Indian products that are legally permissible. Rupsha Butique merely hosts listings and is not involved in the actual transactions between buyers and sellers. Users are responsible for ensuring the legality of their activities on the platform.

Membership and Fees
Currently, membership on Rupsha Butique is free for browsing and buying. However, Sellers will be charged fees for listing items and availing services such as packing, warehousing, and courier as per the Facility Charges Policy. Rupsha Butique reserves the right to introduce new services or modify existing ones, along with their respective fees.

Payment and Fees
All fees and charges are quoted in Indian Rupees and are payable within the time specified in the invoice. Users are responsible for paying all charges associated with their use of Rupsha Butique, including any applicable taxes. Non-payment may result in suspension or termination of membership and access to Rupsha Butique.

Third-Party Service Providers
Rupsha Butique may appoint third-party service providers to assist with backend operations, including payment processing and logistics. Rupsha Butique is not responsible for any actions or omissions of these third-party providers.
User Responsibilities
• Accuracy of Information: Users are solely responsible for the accuracy and legality of the information they provide on Rupsha Butique.
• Prohibited Activities: Users agree not to engage in activities such as hosting unlawful content, infringing on intellectual property rights, or manipulating prices. Violation of these terms may result in immediate suspension or termination of access to Rupsha Butique.
• Feedback: Users must exercise due care when providing feedback on Rupsha Butique, ensuring that comments are factual and not defamatory or illegal.
• 7. Disclaimers
• Platform Use: Rupsha Butique is a platform where Users interact for transactions. Rupsha Butique is not a party to these transactions and does not control or guarantee the quality, legality, or authenticity of the products listed.
• Warranties: Rupsha Butique provides its services “as is” without any warranties, express or implied. The Company disclaims all warranties, including but not limited to the accuracy, reliability, or completeness of any content or services provided.
Limitation of Liability
Rupsha Butique, its affiliates, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from the use of the platform. The Company’s liability is limited to the fees paid by the User to Rupsha Butique, if any.

Indemnity
Users agree to indemnify and hold Rupsha Butique and its affiliates harmless from any claims, damages, or expenses arising from their use of the platform or violation of these Terms of Use.
Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].

Consent to Data Collection and Use
By using Rupsha Butique and/or providing your information on the platform or through the Rupsha Butique authorized payment gateway facility, you consent to the collection, storage, processing, and use of such information by the Company. The personal information you provide during transactions will be treated as strictly confidential and retained in accordance with our Privacy Policy and applicable laws, including the Information Technology Act, 2000 and its corresponding rules.
The Company does not sell, rent, or disclose your personal information to third parties for their marketing purposes without your explicit consent. Your information will only be used as described in the Privacy Policy. If you do not agree to the transfer or use of your information as outlined, please refrain from using Rupsha Butique.

Protection of User Privacy
The protection of your privacy is of utmost importance to the Company. We understand that your personal information is one of our most valuable assets. We store and process the information you provide on secure servers located in India, which are protected by physical and technological security measures in compliance with the Information Technology Act, 2000.

Breach
If you breach any of the provisions of this User Agreement, misuse the Rupsha Butique authorized payment gateway facility, or if the Company cannot verify the information you provide, the Company reserves the right to take actions, including but not limited to:
• Cancellation of the transaction or payment
• Limiting your activity on the platform
• Removing your information or listings
• Temporarily or indefinitely suspending or terminating your membership
• Blocking your access to Rupsha Butique
The Company may also pursue legal action if it believes your actions may cause legal liability to the Company, other Users, or yourself.
Any User whose membership has been suspended or blocked may not re-register or use Rupsha Butique in any manner until reinstated by the Company. The Company also reserves the right to recover any amounts due and owed by you and to refer cases to the appropriate authorities for legal action.

Grievance Redressal Mechanism
If you have any grievances, objections, or complaints regarding the Website, other Users, or the Rupsha Butique authorized payment gateway facility, please promptly contact the designated Grievance Officer at rupshabutiqe@gmail.com Provide all necessary information and documents to enable the Company or Grievance Officer to resolve the issue.
The name and contact details of the Grievance Officer are published on Rupsha Butique, as required under the Information Technology Act, 2000.

General Provisions
• No Partnership or Agency: None of the provisions of this User Agreement shall be deemed to constitute a partnership or agency between you and the Company. You have no authority to bind the Company in any manner.
• Notice: Any notices to the Company must be sent by email to rupshabutiqe@gmail.com. Notices to you will be sent to the email address provided during registration. Notices are deemed given 24 hours after an email is sent unless the sending party is notified of an invalid email address. Alternatively, notices may be sent by registered mail to the address provided during registration, in which case notice is deemed given three days after mailing.
• Severability: If any provision of this User Agreement is found invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
• Entire Agreement: This User Agreement, along with the rules and policies incorporated herein, constitutes the entire agreement between you and the Company regarding the subject matter and supersedes any prior agreements or understandings.
• Assignment: The Company may assign or transfer its rights and obligations under this User Agreement to any other person without your prior consent, provided that the terms remain no less favorable to you.

Arbitration
Any disputes arising between you and the Company in connection with the use of Rupsha Butique, the Rupsha Butique-authorized payment gateway facility, or any services provided, shall be referred to arbitration. The arbitration shall be conducted by a sole arbitrator, an independent and neutral third party appointed by the Company. The place of arbitration shall be Surat, and the proceedings will be governed by the Arbitration & Conciliation Act, 1996, conducted in English.

Governing Law
This User Agreement, along with the rules and policies incorporated by reference, shall be governed by and construed in accordance with the laws of India. The courts in Surat shall have exclusive jurisdiction over any disputes arising from or related to this Agreement.
